razorBridge B2B Terms of Service

Version: October 4, 2026

These terms are a contract between KlusAI Labs SRL, Cluj-Napoca, Romania, Trade Register no. J2023002680120 ("KlusAI", "we", "us"), and the business or public body that opens a razorBridge account ("you"). razorBridge is a brand of KlusAI Labs SRL.

They cover razorBridge AI Blades, events, razorBridge AI Gateway and the razorBridge Hub and API ("the service"). They include the Acceptable Use Policy, the Refund Policy, the Data Processing Agreement (DPA), the list of sub-processors and the price list. If these conflict, a signed order form comes first, then these terms, then the rest.

1. Business customers only

We sell only to businesses, universities, schools, research institutes and public bodies. We do not sell to consumers, so consumer rules, including the 14-day right of withdrawal, do not apply.

By accepting these terms you confirm that you are authorised to bind your organisation and that it buys for its business or public-service purposes.

To buy, you give us your organisation's legal name, address and country, and its VAT number (we check EU numbers in VIES). If it has no VAT number, you give the tax identifier we ask for, such as the CUI for Romanian organisations.

You may not use the service if you, or anyone who owns or controls your organisation, is subject to EU or UN sanctions.

2. Accounts

  • Keep logins and API keys secret. You are responsible for everything done with your account and keys, including by colleagues you add.
  • If you think a login or key has been misused, tell us at once at [email protected].

3. Prices

  • Prices are in euro, excluding VAT, as shown in the price list.
  • We add VAT where it is due. Romanian customers pay Romanian VAT. EU customers with a valid VAT number are invoiced under reverse charge.
  • We may change prices with 30 days' notice by email. A change does not affect sessions already running or events already booked.

4. Prepaid credit

The service runs on prepaid credit. One balance pays for AI Blades, events and AI Gateway.

  • You buy credit by card, where the Hub offers it, or by pro-forma invoice and bank transfer. Bank-transfer credit is added when the money reaches us.
  • Some credit packs include bonus credit. Bonus credit has no cash value.
  • Voucher credit. Credit we add as a voucher or grant, for example for an event or a university programme, has no cash value, cannot be refunded and expires as its voucher terms say.
  • Expiry. Credit you paid for does not expire today. We may introduce an expiry of 12 months after purchase, with 30 days' notice under section 16.
  • Order of use. When we work out how much of a purchase is unused, for example for a refund, we count voucher and bonus credit as used before credit you paid for.
  • We issue an invoice for every payment (section 13).

5. How AI Blades are billed

  • Hourly rate, charged by the second. Each GPU type has an hourly rate in the price list, charged for every second a blade runs, after any minimum per session below.
  • Minimum per session. Some GPU types bill a minimum per session, currently 60 minutes, then by the second. On those types a 10-minute session costs 60 minutes and a 75-minute session costs 75 minutes. The Hub shows the minimum before you start.
  • Session length. You choose a session length when you start, up to the maximum the Hub shows. Your balance must cover the whole length, and any minimum, or the session will not start. The session stops at the end of its length unless you extend it.
  • The stop at €0. When your balance reaches €0, we stop your running sessions. Their blades and disks are deleted, and anything not saved elsewhere is lost. We try to email you when your balance gets low, but do not rely on it.
  • Small overrun. We check usage every few minutes, and stopping a blade takes a few more. The time a blade runs until it is fully stopped is billed. This can take your balance slightly below €0. Your next top-up settles it first.
  • AI Gateway is billed per token at the price-list rates, from the same balance.

6. Events

An organiser can book an event: a workshop, lab, course or competition where participants use blades on the organiser's account.

  • Price: GPU time at list price, plus an organiser fee where your quote or pro-forma shows one (currently €49 per event).
  • Cover at launch: when an event's blades launch, your balance must cover the full GPU estimate (GPUs × hours × list rate, with any minimum per session). If it does not, the event's blades do not launch.
  • Billing: GPU time is charged as it is used, including the small overrun in section 5. The event's blades stop shortly after its end time.
  • Cancelling: an organiser fee is refunded if you cancel 48 hours or more before the event starts. After that it is non-refundable. See the Refund Policy.
  • Participants: you are responsible for your participants following the Acceptable Use Policy. We do not contract with them. We process their login data as your processor, under the DPA.
  • Stock: we do not reserve GPU stock for an event. If a GPU type is unavailable when the event starts, you are not charged for blades that could not start.

7. Refunds

The Refund Policy applies. In short: unused credit you paid for can be refunded within 14 days of purchase; compute you used cannot.

8. Card disputes and chargebacks

If a card payment is disputed or charged back, we freeze the account, stop and delete running blades, and cancel upcoming events. The account stays frozen until the dispute is withdrawn or resolved. We charge no dispute fee. Please write to [email protected] first; we answer within one working day.

9. Availability

  • No SLA. We offer no service-level agreement, uptime commitment or service credits, unless a signed order form says otherwise.
  • Best-effort stock. A GPU type, region or quantity may be unavailable when you ask for it. If a blade cannot be started, you are not charged for it.
  • Blades are temporary. A blade and its disks are deleted when its session ends, when you stop it, at €0, or on suspension. Keep your own copies.
  • Our faults. If a blade fails because of a fault on our side or our provider's side, tell us within 7 days. We return the charge for the affected compute time to your balance as credit, never cash. This is your only remedy for such a fault.
  • Changes. We may add or retire GPU types, models and features. We give 30 days' notice before retiring something you are paying for, unless a provider or the law forces a faster change.

10. Where your data is processed

Residency depends on the product:

Product Where it is processed
AI Blades In the data centre of the GPU provider that serves the blade. Today this may be outside the EU. Do not put data that must stay in the EU on a blade unless your order form says the blade is EU-only.
Managed kOS — Dedicated EU-hosted, with named exceptions: hosted in the EU, and each exception is named in your order form.
Managed kOS — Shared EU-hosted: hosted in an EU data centre in Frankfurt, Germany, run by a provider headquartered in the United States. AI requests may be processed outside the EU.
AI Gateway Each model carries a label. A model labelled EU-only is processed in the EU; if no EU route is available, the request fails rather than leave the EU. All other models may be processed outside the EU, by third-party model providers including in the United States.

The list of sub-processors names each provider, its location and the transfer safeguard: the EU-U.S. Data Privacy Framework or Standard Contractual Clauses. We tell you about new sub-processors as the DPA says.

11. Your data

  • Your data, models and outputs belong to you. We claim no rights in them and do not train models on them.
  • We process personal data in your workloads as your processor, under the DPA, and only as needed to run the service.
  • We process account and billing data as controller, under the Privacy Policy.

12. Suspension and closing

We may suspend your account, fully or in part, if you breach the Acceptable Use Policy, a card payment is disputed, there is a security threat or risk to others, the law or an authority requires it, or you gave false account or tax information. Where we can, we warn you first. A suspension stops running blades, and stopped blades are deleted.

You may close your account at any time from the Hub or by email. Refunds follow the Refund Policy.

We may close your account with 30 days' notice for any reason, and then refund all unused credit you paid for. We may close it at once for a serious or repeated breach of these terms or the Acceptable Use Policy.

After closing, we delete your data as the DPA and Privacy Policy say. We keep invoices and accounting records as long as the law requires.

13. Invoices

  • We issue a tax invoice for each payment. Romanian buyers receive it through RO e-Factura.
  • A pro-forma is not a tax invoice. The tax invoice follows the payment.
  • Refunds are documented with a credit note.

14. Liability

  • Cap. Our total liability under these terms in any 12-month period is limited to what you paid us in the 12 months before the event that caused the claim.
  • No indirect loss. We are not liable for indirect or consequential loss, such as lost profit, lost revenue, lost data, lost training runs or the cost of replacement compute.
  • Backups. Blades are temporary. You are responsible for your backups.
  • Not limited: liability for intentional harm or gross negligence, for death or personal injury, or any other liability Romanian law does not allow us to limit.
  • Your liability. You are responsible to us for claims and costs caused by your breach of the Acceptable Use Policy, including claims from our providers.

15. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for this contract, for 3 years after the contract ends, and for as long as it stays a trade secret or personal data.

16. Changes to these terms

We email account admins 30 days before a material change takes effect. If you do not agree, you may close your account before then and we refund all unused credit you paid for. If you keep using the service after that date, the new terms apply.

17. Law, courts and language

  • Romanian law governs these terms. The courts of Cluj-Napoca, Romania, have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
  • These terms are written in English. If we provide a translation, the English version prevails unless a signed order form says otherwise.
